1. Definitions

In these Terms, the following definitions apply:

• "Agency" means Elite Models Dubai, a modeling agency registered in the UAE with registration number 34158666.
• "Services" means all services offered by the Agency, including model representation, talent booking, event staffing, and related services.
• "Website" means the website operated by the Agency at www.elitemodelsdubai.com and all associated pages.
• "User" means any individual who accesses or uses the Website or Services.
• "Client" means any individual or entity who engages the Agency to provide Services.
• "Model" means any individual represented by the Agency for professional modeling services.
• "Content" means any text, graphics, images, music, software, audio, video, information, or other materials appearing on the Website.

2. Website Use and Account Registration

2.1 Account Creation

To access certain features of our Website, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately if you suspect any unauthorized use of your account.

2.2 Age Requirement

You must be at least 18 years old to create an account and use our Services. By creating an account, you represent and warrant that you are at least 18 years old.

2.3 One Account Per User

You may not create more than one account without our express permission. We reserve the right to terminate any duplicate accounts.

2.4 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms. You may also terminate your account at any time by contacting our customer service.

3. Services and Bookings

3.1 Service Description

The Agency provides model representation and talent booking services for fashion shows, photoshoots, promotional events, and other commercial engagements. Our Services include:

• Model representation and management
• Model booking and coordination for client projects
• Contractual and financial management of bookings
• Portfolio development and career guidance for represented models

3.2 Booking Process

All model bookings must be made through the Agency. Direct bookings with models are strictly prohibited and may result in additional fees or legal action. The booking process typically includes:

• Initial client inquiry and project brief
• Model selection and proposal
• Rate negotiation and terms agreement
• Formal booking confirmation
• Project execution
• Post-project feedback and invoicing

3.3 Cancellation Policy

Cancellation fees apply based on the timing of cancellation relative to the booking date:

• Cancellation more than 7 days before the booking: No fee
• Cancellation 3-7 days before the booking: 50% of the agreed fee
• Cancellation less than 3 days before the booking: 100% of the agreed fee

The Agency reserves the right to waive cancellation fees at its discretion in exceptional circumstances.

3.4 Payment Terms

Unless otherwise agreed in writing, payment terms are as follows:

• A 50% deposit is required to confirm bookings
• The remaining balance is due within 30 days of the booking date
• Late payments will incur a 1.5% monthly interest charge
• All bank charges and transaction fees are the responsibility of the Client

4. Intellectual Property Rights

4.1 Agency Content

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Agency, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 Limited License

Subject to these Terms, the Agency grants you a non-exclusive, non-transferable, revocable license to access and use the Website for your personal, non-commercial use. This license does not include:

• The right to reproduce, distribute, display, sell, lease, transmit, create derivative works, or exploit any Content
• The right to use any data mining, robots, or similar data gathering or extraction methods
• Any use of the Website or its Content that is not expressly permitted

4.3 Model Imagery

All model imagery on the Website is for reference and casting purposes only. Any use of model imagery requires explicit written permission from the Agency and may be subject to usage fees. Unauthorized copying, reproduction, or use of model imagery is strictly prohibited and may result in legal action.

4.4 Usage Rights for Client Bookings

When booking a model, usage rights for resulting imagery or content are limited to the specific terms agreed upon in the booking confirmation. Any usage beyond the agreed scope requires additional negotiation and compensation. The Agency retains the right to use booking imagery for promotional purposes unless explicitly excluded in the booking agreement.

5. User Conduct

You agree not to use the Website or Services:

• In any way that violates any applicable law or regulation
• To impersonate or attempt to impersonate the Agency, an Agency employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Website
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website
• To use the Website to transmit or facilitate the transmission of unsolicited advertising or promotional material
• To introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material
• To attempt to disable or circumvent any security measures implemented on the Website

6. Disclaimer of Warranties

The Website and Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. The Agency disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Website will meet your specific requirements
• The Website will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the Website will be accurate or reliable
• The quality of any products, services, information, or other material purchased or obtained by you through the Website will meet your expectations

7. Limitation of Liability

To the fullest extent permitted by law, the Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from:

In no event shall the Agency's total liability to you for all damages, losses, or causes of action exceed the amount paid by you, if any, for accessing or using the Website or Services during the twelve (12) months prior to the claim.

You agree to defend, indemnify, and hold harmless the Agency, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or Services.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the courts of Dubai, United Arab Emirates, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant jurisdiction.

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes.

These Terms, our Privacy Policy, and any booking agreements or other terms specifically referenced herein constitute the sole and entire agreement between you and the Agency regarding the Website and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website and Services.
